1. Who We Are

Priowise is an AI-powered strategy execution and prioritization platform. These Terms form a legal agreement between you and Priowise Limited, registered in England and Wales under company number 17056240.

By accessing or using Priowise, you agree to these Terms.

2. Eligibility & Account Responsibilities

You must be at least 18 years old to use Priowise.

You are responsible for:

• The accuracy of submitted data
• Safeguarding your credentials
• All activities conducted under your account

Notify us immediately if unauthorized access occurs.

3. License to Use Priowise

We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform. Services may be modified, suspended, or discontinued with reasonable notice.

4. Acceptable Use

You agree not to:

• Use the platform for illegal or harmful purposes
• Upload abusive or infringing content
• Reverse engineer the system
• Bypass system limits
• Use outputs for disinformation or spam

Accounts may be suspended for violations.

5. AI Usage & Disclaimers

Priowise uses AI models — primarily Claude (Anthropic) — to generate insights, score roadmap items, and produce strategy assessments. Supplementary models from OpenAI and Google Gemini may also be used for specific tasks.

AI outputs:

• Are informational only
• Do not constitute professional advice

You remain responsible for all decisions made using platform outputs.

6. Plans, Billing & Cancellations

Subscription options include Monthly Plans and Annual Plans.

• Monthly plans renew automatically
• Annual plans are billed upfront
• Fees are generally non-refundable
• Pricing changes apply to future renewals

7. Termination

You may cancel your subscription at any time.

Priowise may suspend or terminate access if:

• Terms are breached
• System misuse occurs
• Required by law

Upon termination, platform access ends and data handling follows the Privacy Policy.

8. Intellectual Property

All platform software, tools, and algorithms belong to Priowise Limited. You retain ownership of your own business data.

9. Subprocessors

Priowise uses trusted third-party providers to deliver its services:

• Anthropic — AI model execution (Claude)
• OpenAI — AI model execution (supplementary)
• Google Gemini — AI model execution (supplementary)
• Vercel — hosting and content delivery
• Clerk — authentication and subscription management
• Supabase — application database
• Inngest — background job processing
• PostHog — product analytics
• Brevo — transactional email
• Stripe — payment processing

10. Limitation of Liability

Priowise is provided "as is" without warranties. Total liability is limited to the fees paid during the 12 months preceding a claim.

11. Updates to These Terms

Terms may change periodically. Continued use of the platform indicates acceptance of updates.

12. Governing Law

These Terms are governed by the laws of England and Wales.
